Welcome to Duelly. These Terms of Service ("Terms") govern your access to and use of the Duelly mobile application (the "App") and website (the "Site") operated by Duelly, Inc. ("Duelly," "we," "us," or "our"). By creating an account or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 13 years of age to use the App. If you are between 13 and 18 years old, you must have the consent of a parent or legal guardian to use the App. By using the App, you represent and warrant that you meet these eligibility requirements.

2. Account Registration

To access certain features of the App, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain the security and confidentiality of your login credentials
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or incomplete.

3. User-Generated Content

3.1 Your Content

You retain ownership of all content you create and upload to the App ("User Content"), including videos, images, comments, and profile information. By submitting User Content, you grant Duelly a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the App and Duelly's business operations, including promotion and marketing.

3.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

You own or have the necessary rights and permissions to submit your User Content
Your User Content does not infringe the intellectual property, privacy, or other rights of any third party
Your User Content complies with these Terms and all applicable laws

3.3 Content Removal

We reserve the right to remove, disable, or restrict access to any User Content at our sole discretion, without prior notice, for any reason, including content that we believe violates these Terms or is harmful to users or third parties.

4. Acceptable Use Policy

You agree not to use the App to:

Post content that is hateful, discriminatory, threatening, harassing, defamatory, obscene, or otherwise objectionable
Promote violence, terrorism, self-harm, or illegal activities
Bully, intimidate, or harass other users
Upload sexually explicit content involving minors
Impersonate any person or entity, or misrepresent your affiliation with any person or entity
Engage in spam, phishing, or any form of unsolicited communication
Manipulate votes, challenges, leaderboards, or any App feature through automated means, fake accounts, or coordinated inauthentic behavior
Upload viruses, malware, or any harmful code
Attempt to gain unauthorized access to the App, other user accounts, or our systems
Scrape, crawl, or collect data from the App without our express written permission
Use the App for any commercial purpose without our prior written consent
Violate any applicable local, state, national, or international law

5. Virtual Currency & Coins

The App may feature a virtual currency system ("Coins"). Coins are virtual items with no real-world monetary value and cannot be exchanged for cash or cash equivalents. We reserve the right to modify, manage, regulate, or eliminate Coins at any time without liability. Your Coins balance and any associated benefits are non-transferable and are subject to these Terms.

6. Intellectual Property

The App, including its design, features, functionality, code, graphics, logos, and trademarks, is owned by Duelly, Inc. and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the App without our express written permission.

7. Copyright Infringement (DMCA)

We respect the intellectual property rights of others. If you believe that your copyrighted work has been infringed on the App, please send a notice to our designated DMCA agent at legal@duelly.com with the following information:

A description of the copyrighted work you claim has been infringed
A description of where the infringing material is located in the App
Your contact information (name, address, phone number, email)
A statement that you have a good-faith belief that the use is not authorized
A statement under penalty of perjury that the information is accurate and that you are the copyright owner or authorized to act on their behalf
Your physical or electronic signature

8. Account Termination

We may suspend or terminate your account and access to the App at our sole discretion, without prior notice or liability, for any reason, including but not limited to:

Violation of these Terms or our Acceptable Use Policy
Conduct that we determine is harmful to other users, third parties, or Duelly
Requests by law enforcement or government agencies
Extended periods of inactivity

You may also delete your account at any time through the App's settings or by contacting us at support@duelly.com.

9. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE APP IS AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DUELLY, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE APP
ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APP
ANY CONTENT OBTAINED FROM THE APP
UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE APP EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU HAVE PAID US IN THE PAST 12 MONTHS.

11. Indemnification

You agree to indemnify, defend, and hold harmless Duelly, Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) your User Content.

12. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Lee County, Florida. You agree to waive any right to a jury trial or to participate in a class action.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Lee County, Florida.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting a notice in the App or sending you a notification. Your continued use of the App after such changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the App and delete your account.

15. General Provisions

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Duelly regarding the App.
Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
